Headdrop

Terms of Service

Effective from [PUBLICATION DATE]. The Polish version is the binding one. This is a translation.

In short: Headdrop is your tool. Your content belongs to you. The basic version is free. Headdrop Pro is a subscription you buy and cancel through the App Store. The AI can make mistakes, so check your dates. The full text follows.

1. Service provider

The Headdrop service is provided by:

[PROVIDER NAME: person or company]
[ADDRESS]
[Tax / registration number, if applicable]
e-mail: [email protected]

These terms govern the use of the Headdrop iPhone app and the related online service (the “Service”). By using the Service you enter into an agreement with us on these terms.

2. What the Service is

Headdrop records what you say or type (“thoughts”) and turns it into entries: tasks, events, notes, lists and ideas. It transcribes recordings. It suggests due dates and categories. It sends reminders. It shows your day plan, including meetings from your iPhone calendar. It lets you share a list or a note with another Headdrop user. It syncs entries between your devices and widgets. The set of features may change. We announce material changes in the app.

3. Account and requirements

  • You need an iPhone running a version of iOS the app supports, and an Apple ID. You sign in with “Sign in with Apple”. There is no separate password.
  • You must be at least 13 years old. If you are under 18, you use the Service with your guardian’s knowledge.
  • The account is personal. You are responsible for what happens from your account and device. Do not give anyone your Apple ID.
  • You can delete your account at any time in the app (Settings → Delete account). Deletion is immediate and irreversible. It covers all your data.

4. Free plan and Headdrop Pro

Free. The basic version is free. It has every feature within daily limits: the number of AI analyses and recording minutes per day. You see the limits in the app under Settings → Limits. They reset at midnight in your time zone.

Headdrop Pro is a subscription. It raises the limits and may unlock extra features described in the app. The rules:

  • Purchase through the App Store. You buy the subscription in the app with your Apple ID. You see the price, the period (monthly or yearly) and the currency in the App Store before you buy. The price shown in the store at the time of purchase applies. Apple is the seller and handles the payment.
  • Free trial. If the offer includes a free trial, the subscription becomes paid when the trial ends. You pay nothing if you cancel at least 24 hours before the trial ends. A trial is available once per Apple ID.
  • Automatic renewal. The subscription renews itself for the next period. Your Apple ID is charged within 24 hours before the current period ends, until you turn renewal off.
  • Cancelling. You turn the subscription off in the iPhone settings: Settings → [your name] → Subscriptions → Headdrop. The app opens the same screen: Settings → Headdrop Pro → Manage subscription. After cancelling, Pro keeps working until the paid period ends. Deleting the app or your Headdrop account does not cancel the subscription. Do that in your Apple ID settings.
  • Refunds. Apple handles payments. You request a refund from Apple (reportaproblem.apple.com) under its rules. We cannot refund money ourselves. We will help with the contact if something goes wrong.
  • Price changes. Apple will tell you about a price change in advance. Depending on the law, the change may require your consent. Without it the subscription ends with the current period.

5. Limits and acceptable use

Daily limits protect the Service and its costs. Every analysis and transcription costs money. Longer recordings use more of the limit. A single recording has a maximum length shown in the app. When the limit is used up you can still browse, edit and add entries by hand. AI analysis returns the next day or when you upgrade to Pro.

You may not use the Service unlawfully or to violate the rights of others. You may not circumvent limits, security or data isolation. You may not query the Service automatically outside the features meant for that (personal API key, Siri), or overload the servers. You may not invite people to shared lists who do not want it. You may not store content whose mere possession is illegal. In case of abuse we may restrict or block the account (section 10).

6. Your content

Everything you save in Headdrop remains your property. You grant us only a non-exclusive licence to store, copy, process and display that content to the extent needed to provide the Service. That includes our sub-processors (see the privacy policy) and showing the content to the people you share a list or note with. The licence ends when you delete the content or your account, subject to backups (up to 14 days). We do not read your content manually unless you ask for help or the law requires it.

You are responsible for the content you save and for whom you share lists with. A participant of a shared list can change its items and the note’s text. They cannot delete it or invite others.

7. Artificial intelligence

Headdrop uses OpenAI language models to transcribe recordings and turn a thought into entries: recognise a task, a date, a time, a category, split a list. The results may be wrong or incomplete. The model can mishear a word, confuse a date (“next Tuesday”) or pick the wrong entry type. You can correct every entry. If a date matters, say medication, a flight or an exam, check it after adding. Headdrop is a tool for organising your day, not a source of medical, legal or financial advice.

8. Availability

We try to keep the Service running without interruption, but we do not guarantee constant availability. There may be maintenance, failures or outages at our providers (hosting, OpenAI, Apple). The app also works offline. Entries saved without a connection sync when it returns. We may change, add and withdraw features. If a change materially reduces what you paid for, you may terminate the agreement and seek a proportional refund through Apple.

9. Liability

We are liable for providing the Service properly under the law, in particular the Polish Consumer Rights Act in its part on digital content and services. We are not liable for the consequences of AI errors you did not check (section 7). We are not liable for data loss caused by your deleting the account, nor for the operation of your device, iOS, your internet provider or Apple’s services. Nothing in these terms limits the rights you have as a consumer under mandatory law.

10. Termination

  • You may end the agreement at any time by deleting your account in the app. Cancel an active subscription first in your Apple ID settings. Deleting the account does not turn it off.
  • We may suspend or delete an account when you grossly violate these terms (abuse, intrusion attempts, illegal content) or when the law requires it. Where possible we will warn you by e-mail and give you time to download your data. We may also discontinue the Service altogether. In that case we will give at least 30 days’ notice, and a refund for the unused subscription period is available through Apple.

11. Right of withdrawal

As a consumer you may withdraw from a distance contract within 14 days without giving a reason. For a free account it is enough to delete it. For a Headdrop Pro subscription the purchase contract is with Apple. You exercise the right of withdrawal and the refund through Apple (reportaproblem.apple.com) under the App Store terms. They honour the 14-day right of withdrawal for EU consumers. Starting to use Pro before the 14 days have passed happens at your express request. That may limit the right of withdrawal for the part of the service already used.

12. Complaints

Send complaints about the Service to [email protected]. Describe the problem and give your account e-mail. We reply within 14 days. Apple handles complaints about payments and refunds. Consumers may also use out-of-court dispute resolution, for example a consumer ombudsman or the European Commission’s ODR platform (ec.europa.eu/consumers/odr).

13. Governing law

These terms are governed by Polish law. This choice does not deprive you of the protection of the mandatory law of the country where you habitually reside. Disputes are settled by the court competent under general rules.

14. Changes to these terms

We may change these terms for important reasons: changes in the law, new features, security, changes at our providers. We will announce a change in the app at least 14 days before it takes effect. If you do not accept the changes, delete your account before that date. Continued use means acceptance. The current version is always at headdrop.app/en/terms.
